Summary
QualDerm Partners is currently recruiting for an Assistant General Counsel. This role will assess risk and provide legal and strategic counsel to all departments of a fast growing, multi-site physician practice, including Operations, Procurement/Supply Chain, IT, Finance, Human Resources, Business Development, and Marketing/Communications. Successful candidates will be detailed oriented, able to work autonomously, and able to make immediate decisions and provide quick and clear practical guidance, often under pressure in a short timeframe. Essential Duties and Responsibilities
Draft, review, and approve agreements on behalf of QualDerm and its affiliated entities relating to various health care arrangements including, but not limited to, physician agreements, commercial contracts, leases, payor contracts, clinical affiliation agreements, vendor contracts, and business associate agreements.- Develop and recommend improvements for standard contractual documents, templates, and playbooks.
- Collaborate with cross-functional teams, including finance, operations, business development, IT, and human resources to ensure legal compliance and risk management in all areas of the business.
- Maintain corporate books and records, including board resolutions, annual reports, and applicable licenses and certifications.
- Serve as a daily trusted advisor to the field operations regarding legal issues and risks.
- Participate in due diligence for mergers and acquisitions; advise on legal issues related to deal structuring and negotiations; and assist in transactional document drafting and reviews.
- Support the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations.
- Provide counsel regarding federal and state laws relating to healthcare, including, but not limited to, HIPAA, Medicare and Medicaid program reimbursement and coverage matters, fraud and abuse counseling (including the Anti-Kickback and Stark Laws), False Claims Act, and state licensing and regulatory matters.
- Contribute to strategic initiatives and projects related to QualDerm’s compliance and operational activities.
- Monitor developments in relevant areas of the law by keeping current on legal literature.
- Assist in training and education related to legal and compliance matters.
- Understand the needs of internal clients and maintain strong relationships with key stakeholders, including Executive and Senior Leaders, across the enterprise.
Qualifications
Healthcare industry experience required.- Intellectual curiosity and strict attention to detail.
- Ability to meet deadlines in a fast paced, high-growth, results-oriented environment.
- Ability to collaborate and work in a team environment.
- Excellent analytical and problem-solving skills.
- Strong communication and presentation skills, both verbal and written.
- Private equity experience preferred.
- Ability to travel as needed.
Education and/or Experience
- Juris Doctorate Degree.
- Ten years or more of relevant experience in healthcare and corporate law, with a strong preference for combination of law firm and in-house legal department of a health care company,
- License to practice law.
