Overview:
RESPONSIBILITIES:
Provides legal advice and counsel to MBP as required.
Develops and oversees a comprehensive contract management system including contract review, analysis, policies and procedures.
Drafts/reviews/approves:
Identifies/analyzes/interprets contracting issues, laws, regulations, policies, procedures, complex written materials and furnishes expert advice/recommendations in the development of corporate decisions and policies.
Provides guidance on claims avoidance, disputes, and other complex or controversial contractual matters and related risk management/mitigation matters.
Provides negotiation support.
Provides training as it relates to contract performance and contractual language issues.
Focuses on improving organizational performance by facilitating commercial best practices and business arrangements; mitigating business risk.
Provides strategic thought leadership to develop innovative contracting solutions which will result in achieving company business objectives.
Identifies current and anticipates future problems and determines appropriate solutions or preventive measures.
Recommends changes and additions to the contract strategy or structure to reflect company and client requirements and alignment with company program and risk mitigation objectives.
SUMMARY:
Serves as in-house Corporate Counsel. Provides legal advice and counsel to MBP and the Contracts and Risk Management Team, in accordance with approved policies. Coordinates/manages all aspects of the contracting process ethics policies. Identifies company risk issues, including those related to the contracting process and recommends appropriate risk mitigation strategies. Provides guidance and oversight to outside counsel related to ongoing litigation. Opportunities to assist with strategic initiatives working with MBP’s senior leadership team.

- Contractual provisions that address business, financial and legal risks, including statements of work, schedule, compensation, changes, termination provisions, indemnification and all other potential areas of risk.
- Subcontract, teaming, joint venture, nondisclosure, real estate, staffing, and special event agreements.
- Contract modifications and task orders.
Identifies/analyzes/interprets contracting issues, laws, regulations, policies, procedures, complex written materials and furnishes expert advice/recommendations in the development of corporate decisions and policies.
Provides guidance on claims avoidance, disputes, and other complex or controversial contractual matters and related risk management/mitigation matters.

Interacts with professional and commercial general liability insurance carriers as it may relate to insurance coverage and contracts and risk management.
Responsible for MBP’s Code of Business Ethics, updating as necessary, and issuing periodic Ethics Bulletins.
Qualifications:
EDUCATION/KNOWLEDGE:
Juris Doctor (J.D.) and an active admission to practice law in the Commonwealth of Virginia required. Working knowledge of construction management, engineering and construction industry business procedures and contracting practices; the Federal Acquisition Regulation (FAR) and its supplements, and local jurisdiction procurement legislation required.
