Accountabilities / Responsibilities:
The HR Director, Diligence and Integration owns the talent integration strategy for both large and small acquisitions including Ambulatory Surgery Centers (ASCs), Surgical Hospitals and other lines of business. This role will collaborate directly with the Talent team and the Enterprise Diligence & Integration team to ensure a comprehensive integration plan. Prior to integration, a comprehensive diligence assessment is executed for each acquisition. As an integral leader on the HR team, this role will partner with leaders across the enterprise to remove barriers and implement strategies to enable smooth transitions while improving the overall acquired teammate experience.

The diligence assessment would include HR considerations that may impact the financial model of the deal, identifying the key differences and gaps in compensation and benefit plans, recommending approaches to close the gaps, and developing a high-level cost impact analysis. The HR Director, Diligence and Integration will also partner with leaders and teams to support the transition of new employees onto SCA’s programs and platforms and ensure seamless transition for payroll and benefits. As acquisitions are a key component of our growth strategy, this role will be responsible for managing a team of Diligence and Integration experts responsible for overseeing and executing multiple acquisitions simultaneously across the country.

Due Diligence
- Review and identify potential HR risks and liabilities which could impact the deal valuation and/or integration.

  • Influence development of the talent integration strategy through knowledge of compliance, state regulations, competitive market compensation and benefits, pre-boarding, culture assimilation and change management
  • Look for opportunities to continuously improve and create efficiencies to drive success with future acquisitions
  • Lead issue resolution for any gaps and obstacles that are discovered
  • Maintain timelines of implementation schedules and communicate progress and obstacles to all key stakeholders
  • Build strong cross-functional relationships with operations leaders and internal teammates to ensure accountability and adherence to critical milestones throughout the due diligence and integration/onboarding process
  • Reviews the completed analysis of payroll, benefits and employee policies and procedures, including but not limited to, employee census file, employee handbook and policies, employment agreements, compensation plan and pay policies, short-term and long-term incentive compensation plans, paid time off plans and accruals, 401(k) and other defined contribution or defined benefit retirement plans, and health and welfare plans and policy documents, and HR-related litigation.
  • Consults with the enterprise diligence and integration team when gaps exist in the aggregate on benefits, factoring in timing of close and terms of purchase agreement.
  • Reviews PEO agreement and termination clause, if applicable.
  • Conducts interviews with facility Administrator to further understand HR programs and any differences between leadership and general employee offerings.
  • Reviews cost impact to the company of moving employees onto SCA benefit plans.
  • Reviews any identified and documented issues or HR cost impacts associated with the proposed transaction.
  • Reviews due diligence on employee related disclosure schedules as provided by the target, as needed.
  • Reviews mapping of prospective partner facilities’ jobs to SCA jobs for completeness.
  • Collaborates closely with HRBP’s to assess acquired entities for potential teammate relations issues, leadership concerns or culture misalighnments.

Integration and Onboarding

  • Influence operations to establish a plan, obtain required data timely, and seamlessly transition teammates onto SCA’s payroll and benefits based upon target close date
  • Build comprehensive cultural assimilation plan for all acquired teammates while taking different classes of acquisition deals into consideration as they may impact the teammate experience
  • Provides input and recommendations on benefits transition strategy and costs.
  • Makes recommendations on transition approach for employees including any buyouts for loss of benefits.
  • Determines 401(k) rollover approach as appropriate in conjunction with deal attorneys.
  • Collaborates cross functionally with HR Centers of Excellence to ensure comprehensive integration plan ensuring a positive first impression for all teammates.
Qualifications:
  • Prefer a Bachelor’s degree in HR, Finance or other Business discipline
  • Minimum 5 – 10 years in financial or human resources disciplines
  • Minimum of 5 years’ work experience with diligence, integration, acquisitions (M&A)
  • Prior experience leading a team
  • Strong project management experience managing multiple project plans and different timelines simultaneously
  • Ability to provide concise, action-oriented recommendations and clear advice to Development Team, Head of HR, or other HR Leaders related to findings, process variations, and issues in integration and diligence
  • Healthcare experience strongly preferred
  • Solid understanding of benefit plan principles related to health and welfare plans, 401k plan administration, healthcare reform, FMLA, and legislated regulations
  • Excellent written and verbal communication skills; ability to deliver recommendations and influence senior leaders, experience performing under pressure with a sense of urgency
  • Highly organized, detail-oriented, resourceful and ability to manage shifting priorities while advancing on critical milestones
  • Demonstrated ability to build internal and external relationships while inspiring trust for ongoing collaborative relationships
  • Strong organizational, problem-solving, and analytical skills
  • Strong interpersonal skills and the ability to communicate effectively at multiple levels and using multiple methods
  • Strong computer proficiency including Excel, Word, PowerPoint as well as experience with an HRIS systems
  • Ability to travel as needed to support integration “go-live” timelines and training
