We are looking for a Senior Corporate Counsel to join our Legal team at either our Santa Clara, California, or Tacoma, Washington, office, or fully remote, reporting to the deputy general counsel, Corporate Legal. In this role, you will bring leadership and legal expertise to stakeholders on corporate governance, M&A, and other strategic transactions, employment matters, litigation, and compliance. You will provide your own creative solutions, apply strategic thinking globally, and take on projects in new areas that interest you.

What you’ll do:
- Lead general corporate matters, including corporate governance, subsidiary management, mergers and acquisitions, and other strategic transactions
- Review company activities and policies for legal compliance and adherence to domestic and foreign government policies and regulations
- Provide legal guidance to the company and senior management in all areas of the company
- Support global subsidiary management and compliance, including matters concerning the Board of Directors and its committees
- Manage agreements that comply with company policies and risk tolerance
- Assist the M&A process, including due diligence, M&A transaction documents, and post-closing integration activities
- Review corporate agreements, such as real estate leases and finance documents
- Collaborate with and manage outside counsel, manage risks, and propose solutions to mitigate risks concerning transactions, contracts, operations, and litigation
- Support Aid in the continuous improvement of standard form agreements and scale legal operations and processes
What you’ll bring:
- 4+ years of experience as a corporate lawyer at top-tier law firm
- Experience supporting M&A processes, including due diligence, M&A transaction documents, and post-closing integration activities
- Experience managing compliance of global subsidiaries
- Experience reviewing technology-related agreements, including Software as a Service (SaaS), managed services, complex software licenses, and other agreements
- Sense of urgency and bias toward action
- Respect for different points of view and the ability to take constructive feedback
- High integrity, excellent interpersonal skills, and a genuine desire to support the team
- Proven success working with teams cross-functionally and cross-border
- Excellent communication and presentation skills
- JD degree or equivalent degree

In the spirit of pay transparency, we are excited to share our compensation philosophy. At Infoblox, we believe in paying for performance. You can expect our employment offers to take many factors into consideration, including but not limited to the location of the role, internal equity, applicable past experience, individual skill set, education, and professional certifications. Please keep in mind that the range mentioned is the base salary range for the role. The typical base salary range for this position is $175,000 - $220,000 plus corporate bonus potential.
