ABOUT THE OPPORTUNITY… Your role

The Senior Corporate Counsel, Securities provides a fast-paced, global organization with legal advice and solutions focused on optimizing business growth and organizational efficiency, while appropriately managing risk. This includes supporting the company’s compliance with federal securities laws and state corporate laws as well as New York Stock Exchange and other similar corporate regulations. Will assist with the preparation of board and committee meeting materials and resolutions in support of the Vice President and Group Counsel, Global M&A, Securities, North America & LATAM. Will provide counsel on various corporate governance matters, including the administration of corporate policies (e.g. Insider Trading Policy).

THE SUCCESSFUL CANDIDATE WILL…

  • Support securities compliance, including supporting the preparation, drafting and filing of SEC Forms 10-K, 10-Q, 8-K; Schedule 14A; Forms S-3 and S-8; Forms 3, 4 and 5; as well as NYSE required filings and notices
  • Assist in the preparation of Board and Committee meeting materials such as agendas, corporate governance related materials, corporate resolutions and meeting minutes for Board of Director and Committee meetings
  • Support the maintenance of corporate governance policies and charters
  • Assist with overseeing the equity award programs
  • Support financing and capital markets matters
  • Assume responsibility for subsidiary management for North America and Europe, overseeing the team’s paralegal for execution of this work

DESIRED EXPERIENCE REQUIRED:

The role requires a Juris Doctor degree and U.S. bar admission, at least 5 years of related law firm or in-house experience as an attorney and functional knowledge and skills in the following areas:

  • Securities law compliance and 34 Act drafting experience
  • Familiarity with Delaware corporate law, corporate governance requirements and best practices.
  • Relationship building, communication and influencing skills to strengthen alignment with colleagues and other corporate functions
  • Experience and knowledge of REIT regulations is a plus.
