Primary Purpose of Position
The Sr. Contracting Negotiator reports to the Associate Director of Contract and Award Negotiations in the Office of Research Services. The Sr. Contracting Negotiator reviews, negotiates and processes contracts with private industry, state, local and federal entities to perform research at UNC Charlotte. As part of the negotiation process, the Sr. Contracting Negotiator reviews agency guidelines, regulations and proposals to ensure that resulting awards will be efficiently monitored and administered. In addition, the Sr. Contracting Negotiator is responsible to keep faculty well informed of the status of contracts and subcontracts.

Minimum Education/Experience
Required Minimum Qualifications:

Bachelor’s degree and one year of experience related to the area of assignment; or equivalent combination of training and experience. All degrees must be received from appropriately accredited institutions.

University Preferred Qualifications:

Graduation from a four year college or university and at least four years of program associate experience, or an equivalent combination of training and experience.

Essential Job Duties
  • Applies working knowledge of general contracts and intellectual property law.
  • Working knowledge of applicable University policies and procedures related to research contracts.
  • Ability to negotiate and communicate effectively and diplomatically, both orally and in writing, with both University and agency representatives at all levels.
  • Ability to perform contracting research in accordance with preliminary instructions and minimal supervision.
  • Keep abreast of new developments in Office of Research Services policies and procedures as well as federal regulations in order to serve as an up to date source of information and guidance for the research community.
  • Sufficient degree of experience, maturity, and good judgment as to carry out the functions and responsibilities of the position.
  • Applies knowledge of: Federal and state law and policy, and University policies related to research. Responsible for staying updated on various legislation, policy and trends affecting the research arena.
  • Efficient administration includes a responsiveness to the needs of the University and its faculty as well as timeliness to assure adherence to legal provisions of an award.
  • Maintains systematic control over all incoming and out going correspondence related to his/her awards and be responsible for being able to determine its status, if in process, or be able to readily locate and refer to such correspondence; manage the process for issuing sub awards that result from the University’s acceptance of its awards for sponsored projects activity.
  • Review and approve all authorization documents as needed by the contract/grant.
  • Review new grant and contract awards for which he/she is responsible and, as needed, prepare an outline with the key features of each award. Unique provisions, special agreements, budgetary limitations and any other special administrative features or financial provisions will be summarized to facilitate the administrative process.
  • Establish and maintain contract and grant files in keeping with good administrative practice and using the university’s electronic research administration systems.
  • Communication will be provided as needed to ensure understanding of legal obligations and related deliverables as laid out in said terms and conditions.
  • Incorporate dissemination of data to the customer base in the campus community; communicate with University and agency representatives on contract and process issues; and participate in University committees as needed.
  • Draft and negotiate other types of agreements such as Master Agreements, Task Order Statements, etc.
  • Responsible for conducting negotiations of governmental and non governmental contracts.
  • Conducts research related contract/subcontract negotiations prior to award acceptance by the University.
  • Follow University policy and legal guidelines, develop facts, back up material and rationale which may be required for a successful negotiation.
  • Use knowledge and expertise to interact with key negotiators to bring each negotiation process to successful completion.
  • Cognizant of additional complex issues to negotiate which include addressing security issues and classification of research as well as the time involved in negotiating contracts.
  • Makes the determination on whether an award incorporates funds for use as a subcontract and may draft the subcontract document.
  • Identify key clauses for action by the post award management team in Office of Research Services. Review and approve all authorization documents as needed by the contract/grant.
  • Work with the PI in preparation of a requesting letter if advance approvals are required by the awarding agencies.
  • Negotiates complex awards and passes terms and conditions to lower tier subcontracts.
  • Prepares negotiation memoranda which set forth the results and understandings that resulted from negotiations and update external departments as needed working to create compliance of accepted terms and conditions on all grants, contracts, cooperative agreements and sub awards.
  • Interacts with faculty researchers to explain the issues so they understand what the university is accepting or not accepting.
  • Works closely with Associate Director, Contract Award and Negotiations of Office of Research Services, legal staff, Executive Director of Research Commercialization and Development (ORCD), and the decentralized college based research officers.
  • Provides advice to the college based research officers as to the allowability of certain terms and conditions of an award.
  • Participates in training programs to be conducted by DR/ORS for campus customers.
  • Works with faculty and administrative staff to resolve issues in a timely manner.

  • Previous experience negotiating contracts in a college or university setting.
  • Ability to analyze contract terms and related documents for content issues, and to revise contract terms as needed to accommodate special circumstances.
