About the Company
RMS is a family office made up of a team that work to take care of the clients (the family’s) every need, whether it be Investments, Accounting, Family Services, Legal, Tax, and Real Estate. The rms team works as a fluid group to take care of those six facets as well as everything in between. The six departments vary in responsibility, but all have the end goal of supporting the family in every possible need they may have. Educate, Simplify, Support and Grow – the core of what we do at rms.
About the Position
The General Counsel is responsible for handling complex and sensitive legal matters in support of the rms family office and family members including but not limited to estate planning, charitable planning, investments, partnerships, foundations, wealth transfer planning, and general law. Ensures compliance with laws and regulations and advises on legal matters. Liaison between the family and outside counsel on various legal matters.
Essential Job Functions
1. Estate Planning: Deep understanding of the family members estate plans and trusts. Reviews and updates estate plans for senior generation. Ensures every trust has an easy-to-read summary of all revocable and irrevocable trusts. Acts as liaison for executors of all estates in working with outside counsel and tax advisors. Monitor any pending legislative changes, including sunsetting provisions related to lifetime exemption that will take effect at the end of 2025. Well prepared for execution of administering an estate by developing and maintaining “mock estate” training program for RMS team regarding everyone’s role in administering the estate. Handles the education for future generations G3’s regarding estate planning for their children and the possibility of the transition of wealth to G4’s.
2. Investment: Review of private placement memorandums, subscription documents and limited partnership agreements. Summarize key terms, identify potential issues and work with outside legal counsel in partnership with CIO. Complete subscription documents for signature. Review LPA amendments
3. PTC: Oversee the administration and maintenance of the Private Trust Company (PTC).
4. Charitable: Involved with the coordination and planning around charitable giving, lifetime exemptions, prenuptial planning, buying/selling family residences, and other requests made by the family.
5. General: May handle settlements and oversee litigation, while protecting family interests. Maintains current knowledge of regulations and laws and advises family and management regarding changes that may affect current contractual arrangements. Prepares, negotiates, and reviews legal documents as appropriate. Anticipates and guards against legal risks.
6. General: Is a member of the family office management team and has a deep understanding of the family office strategy and priorities to effectively support associated legal requirements. Responds to requests for legal advice from management and drafts, negotiates and reviews legal documents and makes verbal
and written recommendations. With general guidance, handles complex and sensitive legal issues as assigned.
7. General: Establishes best in class policies, procedures, and practices regarding legal activities within the family office. Manages work assigned to outside counsel and project management of the legal department.
8. Real Estate: Supports the legal needs for the real estate businesses.
Education and Experience
The preferential candidate for the General Counsel would have a law degree from an accredited institution along with being admitted into a state bar and at least 10 years of progressively responsible experience in Law with an emphasis on Estate Planning and Trusts preferred.

Work Environment
The General Counsel will occasionally work weekends and/or non-regular working hours, with limited travel involved. The position will be based out of our Van Aken Offices in Shaker Heights.

Job Type: Full-time
Pay: $140,000.00 - $160,000.00 per year
