JOB SUMMARY

AerCap Materials has an immediate opening for a VP – Legal & Compliance. This role will report directly to the CEO. The role will be the principal legal transaction counsel for AerCap Materials, responsible for supporting full range of aircraft, engine, component leasing and spare parts transactions. It will also serve as lead Compliance Officer for AerCap Materials, overseeing both regulatory and operational compliance programs including International Trade Control.

ESSENTIAL FUNCTIONS

Legal

  • Maintain a good understanding of the industry and commercial awareness including competitive position, challenges and changes in the sector; modify legal strategy as needed based on this understanding.
  • Provide advice & counsel to commercial deal team on a wide variety of legal issues related to deal structuring and aviation transactions; evaluate deal risk and develop implementing procedures to mitigate such risks.
  • Structure, negotiate and close aircraft and engine sales and purchases, spare parts acquisition, sales, lease and associated agreements, including, consignment, storage, dismantlement, confidentiality, joint venture, purchase orders and other types of agreements associated with the acquisition, sale and leasing of aviation related spare parts.
  • Develop or update standard legal forms in all areas of the business.
  • Provides advice to management on contracts, legal issues & acceptable negotiation positions, competition law, import export and other regulatory matters within scope of this role.
  • Manage and supervise outside counsel, as necessary.

Compliance

  • Identify relevant laws and regulations applicable to AerCap Materials Operations and in conjunction with all stakeholders, design and implement appropriate policies and procedures to ensure compliance.
  • Management & ownership of the following programs within AerCap Materials: Annual AerCap Materials Compliance Plan, AerCap Materials Compliance Risk Assessments, AerCap Materials Compliance Training plan, implementation of necessary Compliance controls & regular review of those controls to ensure effectiveness, & other initiatives as may be requested by the parent AerCap Chief Compliance Officer.
  • Liaise with Ireland based Compliance/KYC team in ensuring necessary due diligence is performed for AerCap Materials counterparties.
  • Identify and conduct necessary compliance training for the business.

JOB REQUIREMENTS, QUALIFICATIONS & COMPETENCIES

Educational/Experience

  • Bachelor’s LLB degree or equivalent knowledge & experience
  • Qualified to practice law in the US.
  • Willingness and ability to travel up to 10% of time within and outside the US.
  • Minimum 2 years’ experience in relevant commercial transactions with a law firm, financial business, or leasing company.
  • Experience negotiating complex legal terms with external clients with proven ability to find creative solutions in difficult/ complex business structures.
  • Experience of counseling senior management, crafting creative solutions and integrating multiple business objectives.

Additional Competencies

  • Experience with and understanding of the aviation industry and technical aspects of aircraft including an ability to understand all facets of the aviation spare parts business (trading, acquisitions, consignments, asset management, leasing and part outs) a plus.
  • Excellent presentation, interpersonal, influencing and communication skills working across multiple levels, functions and geographic regions; proven leadership and business partnering skills.
  • Clear thinker with excellent analytical, critical thinking and problem-solving skills; proven success setting priorities and driving projects to conclusion.
  • Ability to quickly adapt to changing priorities and needs of the business while delivering results.
  • Established ability to influence actions without direct leadership responsibility for teams or processes with a proven ability to build relationships within a matrixed environment (both cross- functionally and cross-business).
  • Ability to function mostly independently and effectively as a member of the legal organization and commercial deal teams; self-motivated.
  • Experience leading successful negotiations.
  • Demonstrated ability to think and lead on a strategic level within an organization.
